Investor Charter in Respect of Investment Adviser — ValueQuest Capital LLP

This Investor Charter is issued for the benefit of clients of ValueQuest Capital LLP, a SEBI-registered Investment Adviser, to promote transparency, investor awareness, informed decision-making, and timely grievance redressal. This charter is based on SEBI Circular No. SEBI/HO/MIRSD/MIRSDPoD/P/CIR/2025/80 dated 2 June 2025 on Investor Charter for Investment Advisers.

A. Vision and Mission Statements for Investors

Vision: Invest with knowledge and safety.

Mission: Every investor should be able to invest in suitable investment products based on their needs, manage and monitor them to meet their goals, access reports, and enjoy financial wellness.

B. Details of Business Transacted by the Investment Adviser

  • To enter into an agreement with the client providing all details including fee details, conflict-of-interest disclosures, and confidentiality of client information.
  • To conduct proper and unbiased risk profiling and suitability assessment of the client before providing investment advice.
  • To conduct annual audit as required under applicable SEBI regulations.
  • To disclose the status of complaints on the website and/or mobile application, if any.
  • To disclose the name, type of registration, registration number, validity, complete address, telephone numbers, and associated SEBI office details on the website.
  • To employ only qualified and certified employees as required under applicable regulations.
  • To deal with clients only through official communication channels.
  • To maintain records of interactions with clients and prospective clients where any conversation relating to investment advice has taken place.
  • To ensure that advertisements, if any, comply with the Advertisement Code for Investment Advisers.
  • Not to discriminate in terms of services provided among clients opting for same or similar products or services offered by the Investment Adviser.

C. Details of Services Provided to Investors

  • Client onboarding, including sharing of the advisory agreement and completion of KYC formalities.
  • Full disclosure about business, affiliations, compensation, fees, and conflicts of interest in the agreement and/or other client communications.
  • Disclosure of the client risk profile and provision of investment advice based on risk profiling and suitability assessment.
  • Treatment of all advisory clients with honesty, integrity, fairness, and transparency.
  • Disclosure of material facts such as risks, obligations, costs, and other relevant information relating to products or securities advised.
  • Clear guidance and adequate caution notices where advice relates to complex or high-risk financial products or services.
  • Maintenance of confidentiality of client information unless disclosure is required by law or the client has provided specific consent.
  • Disclosure of the extent of use, if any, of Artificial Intelligence tools in providing investment advisory services.
  • Disclosure of timelines for services provided and adherence to such timelines.

D. Grievance Redressal Mechanism

In case of any grievance or complaint, the client may first approach ValueQuest Capital LLP at the contact details provided above. ValueQuest Capital LLP shall strive to redress the grievance immediately, but not later than 21 days from the date of receipt of the grievance.

If the client is not satisfied with the response, the client may lodge a complaint on SCORES 2.0, SEBI’s web-based centralised grievance redressal system, at scores.sebi.gov.in. The complaint may be reviewed first by the designated body/IAASB and thereafter by SEBI, as applicable.

If the client is not satisfied with the resolution provided by the market participant, the client may file the complaint or grievance on the SMART ODR platform at smartodr.in for resolution through online conciliation or arbitration.

  • Right to suitability of financial products
  • Right to exit from the financial product or service in accordance with the terms of agreement
  • Right to receive clear guidance and caution notice for complex and high-risk financial products and services
  • Right of vulnerable consumers and differently abled clients to access services in a suitable manner
  • Right to provide feedback
  • Right against coercive, unfair, and one-sided clauses in financial agreements

F. Expectations from Investors

Dos

  • Always deal with SEBI-registered Investment Advisers.
  • Ensure that the Investment Adviser has a valid registration certificate and check the SEBI registration number.
  • Pay only advisory fees to the Investment Adviser and make payments only through banking channels.
  • Maintain duly signed receipts mentioning details of payments.
  • Ask for risk profiling before accepting investment advice and insist that advice is based on your risk profile and available investment alternatives.
  • Ask relevant questions and clear doubts before acting on advice.
  • Assess risk-return profile, liquidity, and safety aspects before investing.
  • Read the terms and conditions carefully, especially advisory fees, plans, category of recommendations, and exit terms.
  • Be vigilant in your transactions and approach appropriate authorities for grievance redressal.
  • Inform SEBI about Investment Advisers offering assured or guaranteed returns.
  • Remember that you have the right to exit the service, seek clarifications, receive clear guidance, and provide feedback.

Don’ts

  • Do not fall for stock tips offered under the pretext of investment advice.
  • Do not provide funds for investment to the Investment Adviser.
  • Do not fall for promises of indicative, exorbitant, assured, or guaranteed returns.
  • Do not act on luring advertisements, market rumours, repeated calls, messages, limited-period discounts, incentives, or gifts.
  • Do not rush into investments that do not match your risk appetite and investment goals.
  • Do not share login credentials or passwords of trading, demat, bank, email, or other accounts with the Investment Adviser.

G. Complaint Data Disclosure

ValueQuest Capital LLP discloses complaint data on its website latest by the 7th day of the succeeding month in the format prescribed by SEBI.

H. Declaration

ValueQuest Capital LLP shall comply with the SEBI Act, 1992, SEBI (Investment Advisers) Regulations, 2013, applicable SEBI circulars, the SEBI Master Circular for Investment Advisers, and directions issued by SEBI and IAASB from time to time.

This Investor Charter shall be provided to clients as part of the onboarding process and shall also be made available on the website and at a prominent place in the office.
